Resignation of Secretary

After consideration of the transitions that NCF is going through and the way the
rest of my life keeps getting in the way of my FreeNet duties, I have decided to
submit my resignation as Secretary. I propose that this would take effect as of the
December 17 Board meeting.

At that time, I would like to propose that the Board appoint Jim Elder as Secretary
for the remainder of my term of office (that is, until May 1997). As you know, Jim
has been a very active volunteer and Board member and has expessed a lot of
interest in the record-keeping aspects of NCF. He has told me that he would be
willing to take on the duties of Secretary in the short term.

I have placed this on the Agenda as an item of new business.
